Real estate

Raise money for your building or development from many investors.

Property owners and developers often have more interested investors than they can practically sign up, and a bank loan alone may not cover the project. With the Asset Tokenization platform your property company accepts smaller amounts from many people through its own investor portal, keeps one investor register and pays rent-based distributions. Our team helps with the structure, the rules and the setup.

What owners want

The building is the asset. Administration is the bottleneck.

Owners of income-producing property, portfolio sponsors and developers usually want four things. Reach investors beyond their usual circle, including abroad. Accept smaller tickets without the cost of a notary visit or a new shareholder agreement for each one. Pay rental income out on a schedule, to every holder, with a clear record. And give holders a path to transfer their stake, where the rules and a venue allow it.

Property is familiar to investors, which helps. It is also heavily regulated, locally taxed and tied to land registries that do not know what a token is. The structure has to respect all of that. The digital security then carries the investor rules and keeps the register current.

Typical structure

A common starting point. Final choices depend on the property, the country it sits in and where your investors are.

What investors look for in property

Title and encumbrances

Who owns the building, what is mortgaged, and what the bank's rights are ahead of investors.

Tenants and leases

Lease lengths, tenant quality, vacancy history and how rent is indexed.

Valuation basis

An independent valuation, how often it is updated and which figures are forecasts.

Sponsor track record

Who manages the property day to day, and what they have delivered before.

Costs and reserves

Maintenance, capital expenditure and the reserves held back before any distribution.

The exit

Whether the plan is to hold, sell or refinance, and what happens to holders at that point.

The rules that usually apply

In most jurisdictions, a share or profit-participation instrument in a property SPV is a security. Offering it to the public usually needs an approved prospectus or a recognised exemption, for example limits on the number of investors, a minimum ticket or an offer to professional investors only. If the vehicle pools money from many investors under a manager, it may also fall under fund rules. Property transfer taxes, local ownership limits and anti-money-laundering checks come on top.

We coordinate the structure and jurisdiction work across Serbia, the EU, Switzerland, the US, the UAE, Singapore and Hong Kong. Qualified counsel confirms and executes it. Who may invest, from where and up to what limit is then built into the security and checked on every transfer.

When tokenization is not the right tool

We would rather say No-Go in week one than build something that will not sell.

  • Title is disputed, or the lender's consent to a new ownership structure is not available.
  • The property is small enough that one or two backers can fund it more cheaply.
  • The main motivation is quick liquidity. Real estate stays a long-term asset in any wrapper.
  • Nobody is ready to report to many holders on rent, costs and valuation for years.

Questions we get from property owners

Do investors appear in the land registry?

Usually not. The SPV stays the registered owner, and investors hold securities in or issued by the SPV. The investor register records who holds what.

Can we tokenize a building that already has a mortgage?

Often yes, but the lender usually has to agree, and investors rank behind the bank. The feasibility review checks the loan terms early.

Can we add more buildings later?

Yes. Follow-on offerings reuse the same platform and investor base, so a second property is less work than the first.

Will holders be able to sell?

Transfers between verified investors can be supported within the rules. For a trading venue, we make introductions to regulated venues. We cannot promise a market or a price.

Summaries of public frameworks, not legal or tax advice. Structures are confirmed and executed by qualified local counsel. Asset Tokenization is a technology and advisory provider; the issuer remains responsible for the offering.
