Funds

Keep the fund you have. Make it simpler for investors to come in, hold and leave.

You already have a regulated fund and a strategy. What slows you down is onboarding, subscription paperwork and keeping the register right across many investors. On the Asset Tokenization platform, digital fund units let you accept smaller amounts through your own investor portal and run subscriptions and the register from your console. You change the paperwork, not the fund, and our team helps with setup and support.

What managers want

Smaller tickets without a bigger back office

Managers of private funds, feeder vehicles and closed-ended funds usually want to reach more eligible investors in more countries, accept smaller commitments where the rules allow it, and cut the manual work in subscriptions, capital calls, distributions and transfers. They also want every holder to be eligible at all times, not just on the day they subscribed.

That last point is where a digital security helps most. Eligibility, country restrictions and holding limits are built into the units and checked on every transfer. The register updates itself when units move.

Typical structure

Vehicle
The existing fund, a new share class, or a feeder vehicle that invests into the main fund.
Instrument
Fund units, shares or limited partnership interests.
Who may hold
Usually professional or qualified investors, depending on the fund's authorisation.
Subscriptions and redemptions
Run through the investor platform, at the dealing dates in the fund documents.
Distributions
Paid to holders from the current register.
Service providers
Administrator, depositary and auditor stay in their roles.

The rules that usually apply

Funds are among the most regulated asset classes. In the EU, managers of alternative funds generally fall under the AIFMD, and retail funds under UCITS or national regimes. Marketing to investors in another country usually needs a passport or national private-placement approval. Other regions have their own fund and marketing rules.

A digital share class does not change the fund's authorisation. It does need the fund documents, the administrator and the depositary to accept the digital register. We coordinate this with the manager's counsel and service providers.

When tokenization is not the right tool

  • Your investors are a few large institutions that already subscribe through their own systems.
  • The administrator or depositary will not accept a digital register, and changing provider is not an option.
  • The fund documents cannot be amended within your timeline.
  • The goal is to reach retail investors, but the fund is not authorised for them.

Questions we get from fund managers

Do we need a new fund?

Not always. A digital share class or a feeder vehicle into the existing fund is often enough. Counsel confirms which route works for your fund documents.

Does our administrator stay?

Yes, if they accept the digital register. The platform gives them the register and payment data they need.

Are you the fund manager?

No. Asset Tokenization is a technology and advisory provider. The manager, administrator and depositary keep their regulated roles.

Summaries of public frameworks, not legal advice. Structures are confirmed and executed by qualified local counsel. Asset Tokenization is a technology and advisory provider and does not act as fund manager, administrator or depositary.
