A real business
Trading history, accounts and customers, not a plan on paper.
SME capital
Your customers, suppliers and local supporters may want to invest, but there is no practical way to take many small amounts. With the Asset Tokenization platform your business gets its own investor portal, one investor register and one set of rules for all of them, as an alternative or addition to a bank loan. Our team helps you set it up, and you keep running the business.
What owners want
Owners of profitable, growing businesses usually want growth capital in a way that fits their plans, alongside or instead of a bank loan or a single investor. They want to include customers and partners, not only professional investors. They want payouts tied to how the business actually performs, a register they do not have to maintain by hand, and a way for holders to transfer later.
The instrument matters more here than anywhere else. Many owners prefer a revenue share or notes, which leave ownership and control unchanged, over minority shares.
| Revenue share | Notes | Minority shares | |
|---|---|---|---|
| What investors get | A stated percentage of revenue until a cap or end date. | Scheduled interest and repayment of principal. | A stake in the company and any dividends. |
| Control | Unchanged. | Unchanged, subject to covenants. | Shared, depending on voting rights. |
| Suits | Businesses with steady, reportable revenue. | Businesses with predictable cash flow. | Businesses planning a sale or larger round later. |
| Main risk for investors | Revenue falls short. | The business cannot pay. | No exit for many years. |

Revenue or results reported on a schedule, with forecasts labelled as forecasts.
Revenue-share instruments, notes and shares are usually securities. Smaller offerings often use a prospectus exemption, for example below a size threshold or with limits per investor. In the EU, some offerings run through licensed crowdfunding service providers under the European crowdfunding regulation, which sets its own caps and disclosure. Offering to customers in several countries multiplies the rules.
We map the options with qualified counsel. Ticket limits and country restrictions are then built into the security, and KYC and AML checks run through the issuer's provider.
