Private equity

Bring in more shareholders to grow your company, without losing control.

Selling a minority stake to many people usually means more signatures, notary work and admin with every new name. On the Asset Tokenization platform a digital security keeps one current shareholder register, checks who may hold the shares and handles transfers and shareholder votes from your console. Our team helps you set it up and keeps it running.

What owners want

Wider ownership, same control

Founders, family holding companies and sponsors of co-investment vehicles usually ask for the same outcomes. Admit smaller investors without a new shareholder agreement each time. Keep the cap table accurate after every transfer. Enforce pre-emption rights, lock-ups and eligibility without chasing people. Run dividends, votes and capital changes for many holders without a mailing campaign. And, later, give holders a regulated way to transfer.

Equity is where governance matters most. The rules around who may hold, who must be offered shares first and what happens at an exit have to be agreed before the first share is issued. Adding them later forces a re-issue and re-onboarding of every holder, which is one of the three reasons we see projects fail.

Voting, information rights, anti-dilution and what happens when a larger investor buys in.

Reporting

Regular accounts and updates, with forecasts clearly labelled as forecasts.

Alignment

How much the founders and sponsor hold, and on what terms compared with new investors.

Valuation basis

How the entry price was set and who reviewed it.

The rules that usually apply

Shares are securities almost everywhere. A public offer typically needs a prospectus or an exemption, such as an offer limited to professional investors, a small number of investors per country or a minimum ticket. Company law adds its own rules on share registers, transfer formalities and shareholder meetings, and these differ a lot between countries. In some places a digital share register is recognised directly. In others, the digital security sits in a holding vehicle and the company law register stays as it is.

We map this with qualified counsel during the structure work. The investor rules are then built into the security, and KYC and AML checks run through the issuer's provider.

When tokenization is not the right tool

  • The founders are not ready to share information with many holders on a regular schedule.
  • A single strategic or institutional investor is the better partner for this round.
  • Company law in your jurisdiction makes a digital register impractical and no holding vehicle is acceptable.
  • The main goal is a quick exit for existing shareholders. A digital security does not create buyers.

Questions we get from founders and sponsors

Do new holders get voting rights?

Only if you design it that way. Voting, non-voting and participation instruments are all possible, subject to company law.

Can we block transfers to competitors?

Yes. Transfer restrictions and approval rules can be built into the security and checked on every transfer.

What happens at an exit?

The exit is run as a corporate action. Proceeds are paid to holders from the register, and the securities are redeemed or transferred according to the terms.

Do you find the investors?

We provide capital introduction: go-to-market, the investor story and introductions to allocators and venue partners. The offering itself is made by you as issuer, with licensed partners where required.

Summaries of public frameworks, not legal advice. Structures are confirmed and executed by qualified local counsel. Asset Tokenization is a technology and advisory provider; the issuer remains responsible for the offering.
